Why verifying a U.S. company from abroad is so hard
A U.S. company can be formed in a single day, with a registered-agent address and a professional website behind it. From outside the country, that is indistinguishable from a business with real operations. Corporate records sit in fifty separate state registries, litigation lives in federal and county court systems that do not talk to each other, and a Secretary of State listing proves only that a company was registered — not that it is in good standing, who actually owns it, or what it has been sued for.
Hidden ownership risk
You may wire funds to an entity with undisclosed ultimate beneficial owners behind layers of intermediate companies.
Sanctions exposure
A partner who appears on an OFAC sanctions list can expose your entire transaction to US Treasury enforcement action.
M&A timeline pressure
A deal on a tight M&A clock cannot wait weeks for answers. Teams outside the U.S. rarely have the records access or the bandwidth.
What our due diligence services cover
Our due diligence service combines official background verification, ownership analysis, and risk screening into one process. The subject of the investigation is always in the United States — a U.S. company, or a person located there — while the client can be anywhere in the world. Because we are a Miami-based U.S. firm, we work U.S. federal, state and county sources directly and report back in English or Spanish. We work at two levels so you only pay for the depth your decision requires.
Basic Background Check
A fast verification of identity, corporate existence, and public-record standing. Confirms whether a U.S. company or individual is real, properly registered, and free of obvious red flags. Right for routine vendor onboarding, low-value contracts, and early counterparty screening.
What Level 1 includes
- ✓Identity and U.S. corporate registration verification
- ✓Legal status and good standing in the state of incorporation
- ✓Basic public-records and litigation check
- ✓Preliminary watchlist screening
- ✓Executive summary with a risk rating
Enhanced Due Diligence
A deep enhanced investigation for high-value or high-risk relationships. Built for M&A, large contracts, financial onboarding, and regulated AML/KYC obligations. Answers not just “is this entity real?” but “who is really behind it, and what risk do they carry?”
Everything in Level 1, plus
- ✓Ultimate Beneficial Owner (UBO) identification
- ✓OFAC and international sanctions list screening
- ✓Politically Exposed Person (PEP) screening
- ✓Adverse-media review across U.S. press and public records
- ✓Litigation, regulatory, and reputational risk analysis
- ✓Detailed executive report with documented, defensible risk rating
Definitions: A UBO (Ultimate Beneficial Owner) is the natural person who ultimately owns or controls a company. A PEP (Politically Exposed Person) is an individual with a prominent public function who carries elevated corruption and bribery risk. OFAC is the US Treasury office that maintains sanctions lists. We screen against all three in Level 2.

Why Compliance Officers
U.S. records, international clients
We are a U.S. firm working U.S. sources directly, reporting to clients who are not in the United States — in English or Spanish, on your time zone.
Compliance-native
Due diligence sits alongside our AML, KYC, BOI, and background-verification practice — we screen the way regulators expect.
Miami-based, US-anchored
Our office at 175 SW 7th St, Suite 1905, Miami, FL puts us where the records are, and gives you a U.S. point of contact you can call.
Built for your timeline
Level 1 in 24-72 hours. Level 2 scaled to your deal, not a generic queue. The timeline is confirmed at intake.
However, outcomes are never promised — that would be irresponsible in a regulated field. Instead, we promise a thorough, documented, defensible investigation.
Frequently asked questions
What is the difference between Level 1 and Level 2 due diligence?
Level 1 is a fast background check that verifies identity, registration, and basic public-record standing, typically in 24-72 hours. Level 2 is an enhanced investigation that adds Ultimate Beneficial Owner (UBO) analysis, OFAC and sanctions screening, Politically Exposed Person (PEP) screening, and adverse-media review for high-value or regulated relationships.
How long does a due diligence investigation take?
A Level 1 basic background check is usually delivered within 24-72 hours. Level 2 enhanced due diligence depends on the scope, the number of subjects, and how much of the record is filed electronically in the relevant U.S. states and counties. We confirm a timeline during intake so it fits your deal — we do not put you in a generic queue.
What is enhanced due diligence?
Enhanced due diligence is a deeper level of investigation applied to higher-risk relationships. It goes beyond basic verification to identify the ultimate beneficial owners, screen against sanctions and PEP lists, and review adverse media — producing a documented risk assessment you can rely on for compliance and audit purposes.
What is UBO screening?
UBO (Ultimate Beneficial Owner) screening identifies the natural persons who ultimately own or control a company, even when ownership is held through intermediate entities or complex corporate structures. It is a core requirement of modern KYC and AML programs and is included in our Level 2 service.
Can you investigate a U.S. company if I am not in the United States?
Yes — that is the core of this service. The subject of the investigation must be a U.S. company or a person located in the United States, but the client can be anywhere in the world. Most of our requests come from companies and individuals outside the U.S. who need to confirm that a U.S. counterparty is real, properly registered, and safe to transact with before they send funds or sign. We report in English or Spanish.
Is the report suitable for our compliance file?
Yes. The executive report is structured with verified findings, screening results, a documented risk rating, and source references — so your legal and compliance teams can rely on it and maintain an audit trail. It is built to be defensible for regulatory review.
How much does due diligence cost?
Pricing depends on the level and scope. Level 1 basic checks are priced as a fixed fee; Level 2 enhanced investigations are quoted based on the number of subjects and jurisdictions. Contact us with your requirement for a quote specific to your transaction.
Do you investigate companies outside the United States?
No. Our due diligence covers U.S. companies and individuals located in the United States, using U.S. federal, state and county records. If the subject you need investigated is registered outside the United States, this is not the right service — we will tell you so at intake rather than take the engagement.
Ready to verify before you commit
